Terms of Service

Effective date: July 14, 2026

1. Who we are and what these terms cover

These terms govern your use of Celphix, operated by Celphix LLC, a company registered in Delaware, USA ("we," "us").

Celphix provides AI voice assistants that make and handle phone calls for businesses, along with tools to supervise, control, and manage those calls (together, the "Service"). The Service includes the website, the platform, the Command Center, and any assistants you order.

"You" means the business that uses the Service, and the person accepting these terms on its behalf.

2. Accepting these terms

You accept these terms by ticking the box at signup or on the Command Center access form, or by using the Service. We record the version you accepted, with the date, time, account, and user.

By accepting, you confirm that you are authorized to bind the business you represent. If you are an employee, you confirm the business has authorized you to do so.

Our Acceptable Use Policy and Privacy Policy are part of these terms. If you do not accept these terms, do not use the Service.

3. Accounts and Command Center access

Anyone may create an account. Access to the Command Center requires an application with your business details, which we approve or decline at our sole discretion, without having to give a reason. Approval normally takes 3 days and can take up to 7. You may apply again after a decline. Once approved, your Command Center access is not withdrawn, except where we terminate your account for fraud under section 10.

You must:

  • give accurate business details and keep them up to date
  • keep your login details secure and control who in your business has access
  • take responsibility for everything done through your account, including by people you add as users

Pay-as-you-go features shown on the platform are not available until we announce them.

4. The Service is provided as-is

The Service is new and still developing. We provide it "as is" and "as available," and we may add, change, or remove features at any time.

We do not guarantee:

  • any number of leads, transfers, appointments, sales, or other results
  • that the Service will be uninterrupted, error-free, or available at any particular time
  • that assistants will always understand callers correctly or respond as intended

AI assistants can make mistakes. You are responsible for supervising your assistants, which the Command Center lets you do, and for stepping in when needed.

The Service relies on third parties, including cloud hosting, AI model providers, and your own telephony providers. We are not responsible for their failures, changes, or outages. No refunds, credits, or other compensation are given for outages or interruptions, whatever their cause.

5. Your responsibilities for your calls

You are the caller. Every call made through the Service is made by you, on your behalf, using your scripts, your lists, and your telephony accounts. We provide the technology only.

You are solely responsible for complying with every law and rule that applies to your calls, in the places you call from and the places you call into. In the United States, this includes the Telephone Consumer Protection Act, the Telemarketing Sales Rule, state telemarketing laws, and Do Not Call rules. You are responsible for:

  • Consent. Having any consent the law requires, including consent for calls using artificial or AI-generated voices.
  • AI disclosure. Making sure every call states that the caller is an AI within the first 5 seconds. You write your scripts, so this is your duty.
  • Lists. The source, accuracy, and lawful use of every number you upload.
  • Calling hours. Calling each person only within the hours allowed in that person's local time. Your assistant's chosen region sets its working hours only.
  • Do Not Call. Scrubbing your lists against applicable Do Not Call registries. If you choose not to use our DNC feature, that choice and its consequences are yours.
  • Recording. Any notice or consent required to record calls.
  • Predictive dialing. Staying within abandoned-call limits where you use predictive dialing.
  • Your scripts. Everything your assistants say, which follows the scripts you write.
  • Licensing. Any licenses your business, agents, or buyers need for what you sell.

We do not give legal advice and do not check whether your calls are lawful. Do not rely on the Service for compliance.

6. Acceptable use, scripts, and enforcement

You must follow our Acceptable Use Policy. Fraud, scams, impersonation, deception, and harassment are never allowed, whatever you pay.

To protect the people you call and the Service, we may review your scripts, call transcripts, call records, and account activity at any time, including through random audits.

The platform checks every script when it is loaded:

  • A script containing a red flag under our Acceptable Use Policy cannot place any call.
  • Each red flag gives your account a warning.
  • On the third warning, we terminate your account.

We may also block a script or pause assistants at any time if we believe your use breaks these terms or the law, or puts anyone at risk.

7. Telephony connections and credentials

You connect your own telephony, such as VICIdial or a VoIP provider, by entering your credentials on the platform. By doing so, you authorize us to access and use those accounts to place, receive, route, and manage calls for you.

  • We store your credentials encrypted and restrict who can access them.
  • You may disconnect and revoke access at any time.
  • Your telephony provider's terms, charges, number reputation, and any delays or failures in its systems are your responsibility.

8. Data

You control your call data: your lead lists, the people you call, and what is said on your calls. We process that data only to provide the Service, following your instructions. You are responsible for having the right to give it to us.

We use your account and usage data to operate, secure, support, and improve the Service. We may use aggregated, anonymized statistics that do not identify you or the people you call, such as average response times or connection rates across the platform, including in our marketing.

We do not sell your data. Our Privacy Policy explains what we collect, how we protect it, and how long we keep it.

9. Orders, payment, and service hours

Adding assistants. You add assistants from the Command Center. Each assistant goes live once we confirm your payment for it.

Billing. Assistants are billed monthly, per assistant, at the prices on your order and invoice, and every assistant renews on the 1st of the month. An assistant added partway through a month is charged for the rest of that month only: its monthly price × the days remaining (counting the day it is added) ÷ 30, never more than one full month's price.

Currency and fees. Prices are set in USD. While we collect payment in Pakistan, invoices are issued in PKR at the fixed exchange rate shown on the invoice. Prices exclude taxes and bank or transfer fees, which you pay.

Missed payment. If payment for a new month isn't confirmed by the 1st, your assistants stop placing calls until it is. Your assistants, settings, scripts, and account are kept. Nothing is deleted for non-payment.

Price changes. We will tell you about any price change on your dashboard, by email, and by WhatsApp before the renewal it applies to.

What one assistant includes:

  • one line, handling one call at a time
  • live in one region you choose, for one continuous 8-hour block a day, Monday to Friday by default
  • the block can be moved to any other continuous 8 hours at no charge
  • one active script at a time, which you can change at any time

Extra time. Extra hours and weekend days are charged separately at the rates on your order, even if you drop a weekday in exchange.

End of shift. When the block ends, no new calls are dialed. A call already connected may finish.

Unused time. Unused hours or days do not carry over and are not refunded.

Refunds. Payments are non-refundable, except where your order states otherwise.

10. Suspension and termination

Once approved, your Command Center access stays in place. We terminate an account only for fraud, which includes running scams or deceptive calls, and reaching a third warning under our Acceptable Use Policy. Termination ends the whole account, immediately and without notice.

Missing a payment never ends your account. It only stops your assistants from placing calls, as section 9 explains.

To protect the people you call, we may pause assistants or block scripts while we look into a complaint from a regulator, carrier, or provider, or where we believe your use is unlawful or puts anyone at risk.

We may also end free tests and trials at any time.

You may stop using the Service at any time. Ending early does not entitle you to a refund for the remaining period. When your account ends, your access ends, and we handle your data as our Privacy Policy describes.

11. Indemnity

You will defend and compensate us, and our owners and staff, for any claims, fines, penalties, losses, and costs (including reasonable legal fees) that arise from:

  • your calls, scripts, lists, or telephony
  • your breach of these terms or of any law
  • anything done through your account

This applies whether the claim is brought by a person you called, a regulator, a carrier, or anyone else.

12. Limitation of liability

To the fullest extent the law allows:

  • our total liability for all claims relating to the Service is limited to the fees you paid us in the 1 month before the event giving rise to the claim
  • we are not liable for lost profits, lost leads, lost revenue, lost data, business interruption, or any indirect or consequential loss
  • for free tests and trials, our liability is zero

These limits apply however the claim arises, even if we were told such loss was possible.

13. Changes and governing law

We may update these terms. We will notify you on your dashboard, by email, and by WhatsApp, and changes apply from the date stated. If you keep using the Service after that date, you accept the updated terms.

These terms are governed by the laws of Delaware, USA. Any dispute will be resolved in the courts of Delaware, and you agree to their jurisdiction.

14. General and contact

  • These terms, with the Acceptable Use Policy, Privacy Policy, and your orders, are the whole agreement between us.
  • If any part is found unenforceable, the rest still applies.
  • You may not transfer your account without our written consent. We may transfer these terms if our business is sold or reorganized.
  • If we don't enforce a term right away, we can still enforce it later.
  • Neither of us is responsible for delays caused by events beyond reasonable control.
